This means it&rsquo;s not listed on any recognised stock exchange, and it&rsquo;s not controlled by another company. Independence is a cornerstone, ensuring that the company isn&rsquo;t tied to larger entities that might dilute the spirit of innovation the EIS aims to foster.<\/span><\/li>\n<li style=\"font-weight: 400\"><b>Permanent UK residence: <\/b><span style=\"font-weight: 400\">the EIS is all about boosting the British business landscape. Eligible companies must have gross assets of <\/span><b>no more than &pound;15 million<\/b><span style=\"font-weight: 400\"> before the investment. This criterion prevents larger, more established companies from monopolising the benefits meant for smaller startups and businesses with high-growth potential.<\/span><\/li>\n<li style=\"font-weight: 400\"><b>Employee count:<\/b><span style=\"font-weight: 400\"> a vital aspect of eligibility is the company&rsquo;s workforce. To qualify, a company should have fewer than 250 full-time employees. This ensures that the EIS is directed toward supporting enterprises that are still in their early stages and could significantly benefit from the scheme&rsquo;s support.<\/span><\/li>\n<li style=\"font-weight: 400\"><b>Qualifying trades:<\/b><span style=\"font-weight: 400\"> the company&rsquo;s trade also plays a role. Certain activities, like dealing in land, financial services, legal services, and more, are excluded from EIS eligibility. This ensures that the scheme is focused on businesses that are actively contributing to the economy in ways that align with its goals.<\/span><\/li>\n<li style=\"font-weight: 400\"><b>Linked enterprises: <\/b><a href=\"https:\/\/startups.co.uk\/strategy\/joint-ventures\/\"><b>if your company is connected with other businesses<\/b><\/a><span style=\"font-weight: 400\">, whether through common ownership or other relationships, you need to be cautious. The EIS has rules to prevent businesses from exploiting the scheme by artificially splitting their activities across multiple entities to gain multiple sets of reliefs.<\/span><\/li>\n<li style=\"font-weight: 400\"><b>Previous government support:<\/b><span style=\"font-weight: 400\"> if a company has already received any previous government support, is under the control of another company, or received investments from certain venture capital trusts or other EIS companies in the past, it might not be eligible. This means that they can reduce their income tax liability by a percentage of the amount they invest. As previously mentioned, this relief is set at 30% of the amount invested.&nbsp;<\/span><\/p>\n<p><span style=\"font-weight: 400\">For instance, if an investor puts &pound;10,000 into an EIS-qualifying company, they could receive an income tax reduction of &pound;3,000.&nbsp;<\/span><\/p>\n<p><span style=\"font-weight: 400\">The tax relief is capped at the amount of income tax an investor owes, and any unused relief can sometimes be carried back to the previous tax year.<\/span><\/p>\n<h3>Capital gains tax deferral<\/h3>\n<p><span style=\"font-weight: 400\">The second type of tax relief offered by the EIS is related to <\/span><a href=\"https:\/\/startups.co.uk\/tax\/capital-gains-tax-explained\/\"><b>capital gains tax (CGT)<\/b><\/a><span style=\"font-weight: 400\">.&nbsp;<\/span><\/p>\n<p><span style=\"font-weight: 400\">When an investor sells an asset that has appreciated in value, they typically owe CGT on the gains. However, if an investor sells EIS shares at a profit, they can defer paying CGT on the gains they make from the sale. This means they can reinvest those gains back into other eligible investments without the immediate burden of CGT.&nbsp;<\/span><\/p>\n<p><span style=\"font-weight: 400\">It&rsquo;s important to note that the deferral is temporary; investors will still need to pay the deferred CGT when the investor sells their EIS shares unless certain conditions are met, for example:<\/span><\/p>\n<p><b>Reinvestment in EIS or SEIS:<\/b><span style=\"font-weight: 400\"> if an investor sells EIS shares and immediately reinvests the proceeds into another EIS or <\/span><a href=\"https:\/\/startups.co.uk\/funding\/investors\/seis-investment-scheme\/\"><b>Seed Enterprise Investment Scheme (SEIS)<\/b><\/a><span style=\"font-weight: 400\"> qualifying investment, the deferred CGT from the initial sale can be carried forward to the new investment. This allows the investor to keep deferring the CGT until they eventually dispose of the new investment.<\/span><\/p>\n<p><b>Death \/ bereavement:<\/b><span style=\"font-weight: 400\"> if an EIS investor passes away, their beneficiaries might be able to inherit the EIS shares without the deferred CGT becoming payable. The beneficiaries can continue to enjoy the deferred CGT benefits until they dispose of the shares.<\/span><\/p>\n<p><b>Gifts between spouses or civil partners:<\/b><span style=\"font-weight: 400\"> transferring EIS shares between spouses or civil partners is usually not considered a sale or disposal, which means that the deferred CGT liability wouldn&rsquo;t become due during such transfers.<\/span><\/p>\n<p><b>Investment failures:<\/b><span style=\"font-weight: 400\"> if an EIS investment fails, meaning that the <\/span><a href=\"https:\/\/startups.co.uk\/news\/uk-brands-administration\/\"><b>company goes out of business<\/b><\/a><span style=\"font-weight: 400\"> and the investor loses their entire investment, the deferred CGT may not become payable.&nbsp;<\/span><\/p>\n<p><span style=\"font-weight: 400\">The CGT liability could potentially be reduced by the amount of loss incurred on the
